Statement and Waiver Agreement NOTE: PLEASE READ AND ACCEPT THE FOLLOWING STATEMENT AND WAIVER AGREEMENT: I request and authorize for myself and on behalf of my spouse or legal partner Marshall Reddick®, Marshall Reddick Real Estate Network® and Marshall Reddick Realty® (collectively referred to as the “Network”) to contact me periodically with newsletters, notices, and other information to learn more about the concepts, ideas, and strategies presented at their seminars. Such contact may be by post, video, email, twitter, text messaging or by other means. I understand and acknowledge, as a part of my participation with the Network, that I may appear in videos, photos, audio recordings, etc. and I authorize the Network to utilize any video, photo, audio recording, etc. in which I appear as part of Network brochures, websites and other promotional materials. ASSUMPTION OF RISK: I understand that investing is risk taking. I understand and agree that investing in real estate involves significant risk and is not suitable for all investors. I realize that past real estate investment results are not indicative of future performance. I realize that I could lose my investment in real estate. I am voluntarily participating in investing in real estate with knowledge of its risks and agree to accept any and all risks of loss or damage which my investing in real estate may entail. I understand it is my duty and responsibility to engage in a serious due diligence investigation regarding any property I may be interested in purchasing; to have an independent legal review of my real estate purchase documents; and to inspect properties in person (or have them inspected in person for me) before deciding to buy. I understand that the Network recommends that I join Prepaid Legal so that I can obtain representation in the area in which I am buying. I understand it is my duty to purchase no more properties than I can afford and to maintain a reserve of at least six monthly mortgage payments for each property I purchase. I understand it is my duty to assess my financial resources and determine they are sufficient before I make any real estate purchase. I understand and agree that the property I buy may not rent as quickly as I would like or expect; that appreciation, fix up expenses, rent quotes, and rent increases in recommended areas are not guaranteed by the Network (or anyone else) or that future performance of the property may be other than I desire. I understand it is my duty and responsibility to verify all statements and representations made by the real estate brokers, agents and property managers I may deal with. I understand the Network does not employ or control the real estate brokers, agents and/or property managers, closing attorneys or escrow companies, financial planners, CPAs and/or accountants, or property trackers to whom the Network directs my attention. In purchasing property, I agree that the focus of my purchase is with the broker or agent and lender handling the sale and that the Network will not be aware of the particular details of my purchase. I hereby grant permission to any real estate broker to whom I have been directed for information and assistance by the Network to forward to the Network a copy of a Purchase Contract and HUD-1 statement on any purchase I make. WAIVER OF LIABILITY AND INDEMNIFICATION: I hereby waive, release and discharge any and all claims against the Network and its officers, employees, consultants, management, agents, Marshall Reddick, Marshall Reddick’s advisors, the sponsoring college or university, and their staff (collectively “RELEASEES”) that I may have that may arise from statements, representations, recommendations, actions, or inactions of the Network or of real estate brokers, agents and/or property managers, builders, lenders, and vendors or others to whom I have been directed by the Network for assistance. I agree to hold harmless, defend and indemnify the Network from any and all liability resulting from, or in any manner arising out of, any negligence on my part or misstatements, intentional or otherwise, I may make to the Network, to lenders, real estate brokers or agents, or to property managers. I understand the Network will rely upon and take action based on this waiver and indemnification and I hereby release the Network in consideration of being directed to real estate brokers, agents and/or property managers by the Network. I understand that any earnest money I deposit for a purchase may not be refundable if I decide not to purchase the property. I understand that the Network is a finder and receives a service fee from the selling broker when I purchase a property using a broker to whom my attention has been directed by the Network. When the Network recommends a vendor, such as an insurance company or a loan modification service provider, and such is used by Network member, the Network often receives a marketing fee for its services. I understand that I am free to use any real estate broker, agent, property manager or vendor of my choice. I understand that problems may occur when a buyer purchases more than one property at a time in the same State and I will not do so. If I do so, I understand and agree that I take full risk and responsibility that my decision to buy more than one property at a time in the same State and that such conduct may not work out to my financial advantage. ARBITRATION OF ANY DISPUTES: Any claim or controversy arising out of or relating to this waiver agreement or my relationship with the Network, including issues relating to arbitrability, shall be resolved pursuant to the Federal Arbitration Act by private, confidential, binding and final arbitration in Orange County, California, administered by the American Arbitration Association in accordance with the Commercial Rules of the American Arbitration Association then existing, and judgment on the arbitration award shall be final and non-appealable, except as authorized by law, and may be entered in any court having jurisdiction thereof. The arbitrator must have been a member of the State Bar of California for at least 15 years and be familiar with real estate agreements. The law governing the arbitration shall be the law of California. Copies of the American Arbitration Association’s rules may be viewed at its website at www.adr.org.
